1. Engagement & Acceptance of Terms
By accessing the FinnovaCA portal, engaging our Chartered Accountancy services, submitting corporate financial records, or making payment for statutory services, you agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between the client entity ("Client") and FinnovaCA ("Firm").
If you are acting on behalf of a company, LLP, or partnership firm, you represent and warrant that you hold the requisite statutory authorization to bind such entity.
2. Scope of CA & Advisory Services
FinnovaCA provides professional services including Direct Tax Planning, Section 44AB Statutory Audits, Goods and Services Tax (GST) Compliance, Ministry of Corporate Affairs (MCA) Filings, SPICe+ Company Incorporation, and Virtual CFO Advisory.
- Specific scopes, timelines, and deliverables for complex mandates are detailed in individual Engagement Letters (EL) or Statements of Work (SOW).
- General information published on this website constitutes legal and tax educational commentary and does not replace tailored professional advice.
- All statutory filings are submitted under the authority of practicing Chartered Accountants holding a valid Certificate of Practice (COP).
3. Client Obligations & Document Veracity
To ensure timely filing before statutory cutoff dates, the Client agrees to:
- Furnish complete, authentic, and un-tampered financial ledgers, bank statements, bills, and director identification documents.
- Provide OTPs, Digital Signature Certificates (DSC), or portal authentication credentials promptly upon request.
- Acknowledge that FinnovaCA relies upon the authenticity of documents provided by the Client and is not liable for statutory penalties resulting from misrepresented, fraudulent, or delayed data submissions.
4. Professional Fees, Government Dues & Refunds
Professional fees are determined based on statutory scope, volume of transactions, and seniority of practitioner required.
- Government Fees & Statutory Challans: All government statutory charges (e.g., MCA filing fees, Stamp Duty, GST challan amounts, PAN/TAN fees) are strictly non-refundable once disbursed to government gateways.
- Professional Fee Refunds: If a service is cancelled prior to drafting or document processing, professional fees may be refunded pro-rata or converted to account credit within 5-7 business days.
- Active Filings: Once government portal submissions or DSC signing is initiated, professional fees are considered fully earned.
5. Professional Confidentiality & NDAs
Under the Chartered Accountants Act, 1949 and ICAI ethical standards, FinnovaCA maintains strict professional secrecy regarding all client financial records, business turnover figures, cap tables, and director identities.
We execute bi-directional Non-Disclosure Agreements (NDAs) for enterprise and venture-backed clients prior to full audit reviews. Confidential information will never be sold, leased, or disclosed to third parties except as compelled by court order or lawful statutory directive.
6. Limitation of Liability & Disclaimers
While our practice maintains rigorous audit procedures with a 99.8% on-time benchmark:
- The Firm shall not be liable for delayed filings or system downtime caused by government portal outages (e.g. MCA V3 portal errors, GSTN gateway latencies, or ITD server downtime).
- The aggregate total liability of FinnovaCA arising out of any engagement, whether in contract or tort, is strictly limited to the total professional fee received by the Firm for that specific statutory assignment.
7. Term & Termination of Engagement
Either party may terminate an ongoing annual advisory engagement by providing 30 days written notice via certified email. Upon termination, all pending government acknowledgments and client books will be handed over, subject to settlement of outstanding professional dues.
8. Governing Law & Jurisdiction
These Terms of Service are governed by and construed in accordance with the laws of the Republic of India. Any disputes arising out of or in connection with professional engagements shall be subject to the exclusive jurisdiction of the competent courts in Gurugram, Haryana.
